ACQUISITION CRITERIA

There are countless companies interested in acquiring some of the nation's irreplaceable real estate assets. However, there are very few companies that are in AAI's enviable position of being able to respond to opportunities decisively and expeditiously. As a boutique real estate firm, our team focuses a keen eye on sourcing these opportunities and, once found, prides itself on possessing the financial strength to close on an asset as quickly as possible.

Property Types
American Assets, Inc. is currently focused on retail acquisitions and is seeking to acquire, or be the majority partner in, neighborhood centers, power centers and lifestyle centers (or a hybrid of each). We strongly prefer to own the anchors and in-line space of retail assets.

Location
We are primarily focused on investments in San Diego. Western United States and other markets of preference include Los Angeles, San Francisco, Seattle, San Antonio and Hawaii. Alternatively, assets that possess a unique and dominant location in smaller markets are also sought.

Preferred Asset Characteristics
We typically focus our retail investment activities on two different types of assets:

Core Investments - we strongly prefer retail centers that possess a dominant market position in supply constrained trade areas with deep demographics. These assets, often referred to as "core assets", possess strong credit tenants and have very stable, bond-like cash flows. Typically, the core assets we have invested in have limited to no deferred maintenance, low tenant turnover and very strong sales and occupancy cost figures. We will consider assuming existing loans on core assets.

Value-Added Investment Opportunities - American Assets, Inc. also invests in assets that are strong candidates for repositioning through either re-tenanting, financial engineering, environmental remediation or GLA and pad additions. These types of assets, often referred to as "value-added", typically possess a unique opportunity for an experienced, well capitalized operator such as American Assets to redevelop, reposition, remediate or recapitalize them. Our firm's deep experience allows us to creatively underwrite and structure value-added opportunities.

Investment Size
American Assets has neither a minimum nor maximum size of deal, although we prefer assets that possess at least 250,000 square feet of GLA (or that are valued above $50 milllion of gross asset value). We will also underwrite and acquire portfolios.
